More freedom for founders, associates and employees

Chisinau, July 12. /MOLDPRES/- Moldovan limited liability companies will operate under a new legal framework, approved today by the government. The document regulates the relations between associations/founders of commercial companies, provides new possibilities in the decision-making process, more rights for associates, as well as the simplification of several procedures, the government's communication and protocol department has reported.

According to the project, the rights of associates will not be conditioned by their investment. The associates will have the possibility to establish by statute other rules for offering the right to vote, to dividends and to the share of assets. The same principle will be applied to the profit sharing between founders, so entrepreneurs will have more freedom to build their own business.

The maximum threshold of the number of associates of 50 people will be excluded. The only binding constitutive act will be the statute, and the State Register - the main source of official information. The share capital may consist of consumable goods and intellectual property rights, and the company's financial debts may be considered a creditor's contribution to the share capital.

Association meetings will be able to be organized online and without convening procedures, and documents will be able to be kept in electronic format, thus encouraging the launch of businesses by diaspora citizens.

Associates will have the right to be represented by an administrator, who may also be a legal entity. Decisions in meetings will be made with fewer votes: 2/3 and not 3/4, to unlock decisions.
